About the role
An established national law firm is seeking a highly skilled Corporate and Securities Associate to support its growing international practice. Based in Ft. Lauderdale, this role focuses on representing public and private corporate clients in a range of sophisticated securities and transactional matters.
Responsibilities
- Prepare and review SEC filings and public company disclosures.
- Advise clients on securities compliance, regulatory matters, and corporate governance.
- Handle complex M&A and joint venture transactions involving U.S. and international entities.
- Draft and negotiate commercial contracts and transactional documents.
- Collaborate with legal teams across the U.S. and Europe, requiring occasional travel.
Requirements
- Minimum of four years of experience in corporate and securities law, with a strong emphasis on public company representation.
- Deep understanding of the Securities Exchange Act of 1934 and the Securities Act of 1933.
- Experience handling SEC filings, including 10-Ks, 10-Qs, and other required disclosures.
- Demonstrated ability to manage M&A, joint ventures, and commercial transactions involving U.S. privately held companies.
- Juris Doctor and admission to the New York Bar.
- Native Italian speaker; working knowledge of additional European languages is a plus.
- Willingness to travel between the U.S. and Europe.
