Corporate Associate - Securities/Capital Markets
About the role
Faegre Drinker is actively recruiting an associate to join the Capital Markets practice group in any of our offices. Exceptional candidates may be considered to work remotely in other markets as well.
Responsibilities
- Represent issuers, investment banks, investors and other market participants in debt, equity and structured transactions, as well as assist investment banks with regulatory compliance and advisory engagements.
- Experience with public securities offerings, including IPOs, registered direct offerings and structured deals, as well as PIPEs.
- Experience working on public company reporting obligations and corporate governance requirements.
- Experience advising on registration requirements, drafting registration statements, RD purchase agreements, PIPE agreements and other offering documents.
- Experience managing transactions and leading due diligence teams.
- Excellent writing skills.
- Superior academics.
- The ability to manage multiple assignments with minimal supervision.
Requirements
- Candidates must list the office or market in which they wish to be considered for in the requested cover letter.
- Exceptional candidates may be considered to work remotely in other markets as well.
- Three to five years of experience in securities law advice and capital markets transactions.
- Specific expertise in capital markets and experience working at a large firm.
- Familiarity with public securities offerings, including IPOs, registered direct offerings and structured deals, as well as PIPEs.
- Additional expertise with public company reporting obligations and corporate governance requirements is highly valued.

Qualifications
- Candidates must have a Juris Doctor degree from an accredited law school.
- A minimum of three to five years of experience in securities law advice and capital markets transactions.
- Specific expertise in capital markets and experience working at a large firm.
- Familiarity with public securities offerings, including IPOs, registered direct offerings and structured deals, as well as PIPEs.
- Additional expertise with public company reporting obligations and corporate governance requirements is highly valued.

Pay
The anticipated initial annual salary range for someone who is hired into this position is $180,000 - $300,000. Actual initial salary will be based on the relevant skills, training, experience, and other job-related factors, including the location of where the position is filled and consistent with applicable law.

Our in-office work policy asks all attorneys, consulting professionals and paraprofessionals to work from a Faegre Drinker office three days per week, striking a balance between in-person collaboration, relationship-building, and exceptional client service, while also supporting individual flexibility and work-life balance.
