Corporate Actions Associate Director (Mandatory)

The Impact You Will Have

In this role, as a member of the Enterprise Business Operations Corporate Actions team, the Associate Director will:

  • Lead the accurate, timely, and controlled processing of Mandatory Reorganization events for DTC-eligible securities, including mergers, reverse stock splits, name changes, bankruptcies, mandatory exchanges, and other events that do not require an investor election.
  • Drive operational, risk, control, client service, automation, and talent-development objectives while overseeing complex events and escalations.
  • Use data and emerging technologies to improve execution and operational resilience and collaborate with internal and external stakeholders to reduce risk and enhance the client experience.

Your Primary Responsibilities

Oversee the accurate and timely processing of mandatory reorganization events, including mergers, reverse stock splits, name changes, bankruptcies, mandatory exchanges, and other events that do not require investor instructions.

  • Drive achievement of departmental KPIs and service commitments, including processing timeliness, announcement accuracy, exception aging, entitlement allocation, client inquiry response, control execution, and operational quality.
  • Monitor high-risk and high-value events, critical effective dates, aged exceptions, position discrepancies, agent funding or delivery discrepancies, and other operational exposures.
  • Ensure timely escalation, ownership, and resolution before client or market impact occurs.
  • Make well-informed, effective, and timely decisions using operational data, trend analysis, and subject-matter expertise.
  • Consider the potential client, financial, regulatory, and operational implications of each decision.
  • Strengthen accountability for measurable, high-quality results by establishing clear ownership, monitoring performance against defined targets, and addressing performance gaps through sustainable corrective actions.
  • Implement improvements that reduce risk and prevent recurrence.
  • Review and enhance the control environment by assessing control performance, evaluating trends, challenging recurring issues, and ensuring audit, compliance, and risk-management actions are completed on time and remain effective.
  • Build and maintain strong relationships with internal and external stakeholders to accelerate issue resolution, improve agent and client responsiveness, strengthen event processing, and reduce operational risk.
  • Oversee performance management by setting clear expectations, coaching the team, evaluating talent, providing constructive feedback, and addressing performance or capability gaps promptly.

Qualifications

  • Minimum 8 years of related experience
  • Bachelor's degree (preferred) or equivalent experience
