Contract, Corporate Counsel
About the role
We are seeking a Contract Corporate Counsel for a 3-month contract to address a wide variety of contractual matters for our U.S. and Canadian clients working with the North America legal team. The role is located in Manhattan with a hybrid schedule, expecting 2-3 days per week in the office and reporting directly to the Group General Counsel.
Responsibilities
- Review, draft and negotiate client and vendor contracts, RFPs, NDAs, DPAs, consulting agreements and any other commercial agreement relating to the company’s provision of services.
- Work closely with client service teams to resolve legal issues related to commercial relationships between Ipsos and its clients.
- Provide advice and support to the business teams on all matters relating to data privacy and security including: personal data of users, consumers, employees and third-parties.
- Create and improve our standard forms, processes and policies.
- Lead trainings of internal business teams on contractual terms, compliance with relevant corporate policies, applicable laws, and industry codes of conduct.
- Aid with a variety of other day-to-day legal matters as needed.
- Collaborate with Group legal department on Americas-wide and global projects.
Requirements
- Bachelor’s Degree and J.D. degree from accredited institutions required.
- A minimum of 8 years’ experience working on commercial contracts in a law firm or mix of law firm and in-house roles.

Skills
- CIPP/E and CIPP/US certification (nice to have).
- Experience and/or knowledge of intellectual property (copyrights, patents and trademarks) and promotions (advertising pre-publication review, contests and sweepstakes).
- Mergers and acquisitions experience.
- Data privacy experience.
- Experience with HR or real estate matters (nice to have).
