Corporate Counsel, Commercial Contracts

Primary Responsibilities & Tasks

  • Drafting and negotiating commercial agreements and ancillary agreements
  • Support, build positive relationships with, and provide authoritative legal guidance to the legal commercial team as well as other internal business teams
  • Work collaboratively to identify and implement process improvements and support updates to internal playbooks and templates
  • Manage and meet internal SLAs, and help juggle priorities in a fast-moving environment
  • Own specific legal projects and develop subject matter expertise regarding legal issues faced by the customer contracts team and internal business partners
  • Select and manage outside counsel when needed
  • Assist commercial contracts personnel with complex or risk-sensitive terms and conditions, such as limiting liability, indemnification, and grounds for termination
  • Participate in and contribute to Legal Department discussions on corporate-wide topics, policies, and procedures
  • Participate in and contribute to Legal Department updates on changing laws and regulations and other continuing education

Qualifications

  • Juris Doctorate from an accredited Law School
  • Licensed to practice law in the United States and active membership in at least one state bar
  • Minimum of 6–8 years of legal experience; experience may include a combination of law firm and in-house legal roles
  • Experience advising executive clients on business and transactional matters (contracts, agreements, business strategy)
  • Demonstrated leadership ability, preferably as a counsel for a business segment of a technology-driven company
  • Ability to perform the role of hands-on legal generalist
  • Demonstrated ability to interact effectively and collaboratively in a fast-paced and complex organizational structure
  • Strong interpersonal and communication skills
  • Ability to analyze complex issues and provide recommendations in an executive-worthy manner
  • Ability to develop strong client relationships while maintaining an independence appropriate to a compliance function
  • Strong communication skills (written and oral)

Pay

Pay is based on market location and may vary depending on factors including experience, skills, education, and other job-related reasons.

For candidates located in California, the annual salary range for this position is $175,000.00 to $200,000.00.
