Job Summary
The Company Secretary & Corporate Affairs will manage corporate secretarial functions, ensure compliance with statutory and regulatory requirements, and handle all matters related to company shares.
Job Responsibilities
- Aid in convening and coordinating Board Meetings, Annual General Meetings, and Committee Meetings in accordance with statutory and regulatory requirements.
- Draft notices, agendas, resolutions, and minutes of meetings, ensuring accuracy and compliance.
- Maintain statutory registers, records, and filing requirements under the Companies Act and other applicable regulations.
- Ensure timely and accurate filings with regulatory authorities, including BSEC, RJSC, and others.
- Support in the preparation of various reports, disclosures, and correspondence related to governance and compliance.
- Liaise with internal departments, external stakeholders, and regulatory bodies on secretarial and legal matters.
- Contribute to the implementation of corporate governance best practices and internal control frameworks.
- Keep relations with the employer, employees, auditor, government (BSEC, RJSC, BIDA, Bangladesh Bank), non-government bodies (DSE, CSE, CDBL), and Commercial Banks/Non-Bank Financial Institutions (NBFI).
