Commercial Counsel - Independent Contractor (Part-Time)

Job Responsibilities

  • Draft, review, edit, finalize and negotiate routine transactional agreements to meet business and legal requirements.
    • Agreements include direct and indirect sales/supply and reseller/distribution agreements; end user license agreements, services agreements, and statements of work (SOWs).
    • May work on the following types of agreements: telecom agreements, maintenance agreements, consulting and advisory agreements, outsourcing, and other technology agreements.
  • Manage contract documentation/approval flows to ensure consistency with internal processes.
    • Assist with contract disputes, including understanding the issues, researching and providing guidance on solutions, drafting settlement agreements.
  • Research and respond to general legal inquiries from the business that may relate to contract disputes, regulatory issues and new business initiatives.
    • Provide counsel and guidance for the accomplishment of overall business objectives of the company, while fully complying with applicable laws and regulations and avoiding unacceptable risks; perform informed cost-benefit analysis when identifying risks.
  • Maintain, revise and/or update contract templates, playbooks, and negotiation precedent materials.
    • Conduct flow-down clause reviews and identify potentially non-commercial, high-risk, or non-applicable FAR/DFARS and/or related contract clauses for legal review.

Desired Skills/Qualifications

  • Requires a Juris Doctor Degree.
    • Admission to the Bar of at least one state is required.
  • 4+ years of experience with public sector and/or government contracting law, corporate transactional, contract negotiations and/or commercial transactional experience, preferably with background in technology matters, including software licensing, subscription, and/or intellectual property.
    • A strong understanding of the FAR, DFARS, or related regulations.
    • Experience reviewing contracts with government agencies or prime contractors.
    • Experience working with legal policies and procedures and demonstrated ability to identify potential legal issues.
    • Experience approaching legal matters with a sense of pragmatism and flexibility to recommend solutions that enable our company’s success while protecting its legacy and future.
    • Strong negotiation, consultation, and analytical skills.
      • Excellent problem-solving skills, sound judgment and decision-making skills.
      • Strong interpersonal, presentation and communication skills (including written and verbal).
    • Ability to participate and collaborate in meetings with customers, vendors, attorneys, management, and other third parties with regard to negotiation of agreements and general problem solving.
      • Business acumen, with ability to understand the company’s business objectives and anticipate the legal issues that could arise.
      • Well organized, detail oriented and adept in a fast-paced environment.
  • Required to work with the highest level of ethics and discretion.

Target Base Pay Range

  • $110 - $120 per hour, up to 15 hours per week

Basic Requirements

  • Juris Doctorate Degree
