Commercial Counsel

ServiceTitan is looking for a Commercial Counsel to help enable rapid growth and manage risk. This remote role reports to the Senior Commercial Counsel and partners closely with the sales team to negotiate and close sales contracts with large customers. The position requires regular collaboration with Pacific Time Zone stakeholders and flexibility to support Pacific business hours.

Responsibilities

• Draft and negotiate complex SaaS sales agreements with large customers and prospects, including related privacy and information security terms
• Work closely with sales, deal desk, professional services, revenue operations, sales operations, and finance/accounting teams
• Provide legal counsel and practical business advice on deal structure, contract drafting and negotiation, and risk assessment and management
• Collaborate with Senior Commercial Counsel and business leaders to improve contract management, playbooks, workflows, processes, templates, and best practices
• Support partnerships, joint ventures, marketing, vendors, B2B integration, professional services, and software/intellectual property development and licensing agreements as needed
• Drive continuous improvement, scalability, and operational excellence in deal processes and execution

Requirements

• 5+ years of relevant experience as a practicing attorney
• Corporate or commercial practice experience at a top-tier law firm required; in-house commercial counsel experience preferred
• Experience negotiating and drafting a variety of commercial agreements, primarily SaaS, including customer agreements in support of sales
• Excellent legal drafting skills and meticulous attention to detail with a track record of producing accurate, polished work product
• Strong legal and business judgment, with proven ability to collaborate with cross-functional teams and advise executives
• Strong project management experience delivering results on time, especially during high-pressure periods like end-of-month close cycles
• Technology industry experience, with SaaS experience preferred
• Juris Doctorate (J.D.) and current membership in good standing of at least one U.S. state bar
• General working knowledge of privacy laws and related information security requirements
• Experience with contract lifecycle management systems is a plus
• Ability to operate with high independence, manage competing priorities, and exercise sound commercial judgment in ambiguous situations

Pay

• Zone 1: $122,200 USD - $183,400 USD (CA, CT, DC, MD, MA, NJ, NY, VA, WA)
• Zone 2: $114,200 USD - $171,400 USD (All other U.S. locations)
• International compensation varies by location and will be discussed during the hiring process

Total compensation includes base salary, annual bonus, equity, and a holistic suite of benefits. Actual compensation is determined by relevant experience, skill set, qualifications, and performance.
