About the role
The Commercial Contracts Manager (Global) supports Videojet Technologies' commercial activities, focusing on North America while also providing support in other regions. This role serves as a trusted legal partner to various teams, managing a high volume of commercial contracts and leading more complex, technology-driven, and innovation-focused transactions.
Responsibilities
- Review, draft, negotiate, and manage a broad range of commercial agreements, including customer terms & conditions, master purchase and supply agreements, service and maintenance agreements, SaaS and software licensing agreements, NDAs, and data protection agreements.
- Serve as the primary contracts resource for Videojet’s North America business. Provide additional contract support for agreements outside of North America, collaborating with internal stakeholders and legal colleagues as appropriate.
- Independently negotiate routine and moderately complex agreements, escalating only highly complex or novel issues to Legal leadership or company attorneys.
- Work extensively from customer and supplier paper, applying strong issue-spotting, risk assessment, and practical problem-solving skills.
- Bring deep expertise in technology and SaaS contracting to support expanding digital, connected, and AI-enabled business models. Identify and manage risks related to data usage, cybersecurity, IP ownership, licensing, liability allocation, and regulatory considerations in technology-driven agreements.
- Partner with internal technology, product, and digital teams to ensure contracts align with evolving business strategies and risk tolerances.
- Support product innovation initiatives by structuring and negotiating complex development, co-development, and supply agreements with third-party partners. Ensure appropriate protection of intellectual property, confidentiality, and commercial interests in R&D and innovation-focused collaborations.
- Advise cross-functional teams on contractual frameworks that enable innovation while managing legal and commercial risk.
- Work closely with Sales, Service, Finance, Customer Service, Procurement, Product, and Technology teams to facilitate timely contract review and execution. Participate in cross-functional reviews of vendor questionnaires, RFQs, codes of conduct, certificates of insurance, and other legal documentation.
- Identify and lead continuous improvement efforts for commercial contracts operations, including with respect to KPIs and the Legal Department’s contract lifecycle management (CLM) system. Own CLM reporting and interpretation of contract data, implementing countermeasures when unfavorable trends are identified. Lead the development and improvement of contracting processes, playbooks, and templates to support efficiency and scalability.
Requirements
- Minimum 8–10+ years of experience reviewing and negotiating commercial contracts supporting sales and procurement organizations.
- Significant experience with technology, software, and SaaS agreements, including work from third-party paper.
- Experience supporting product development, innovation, or strategic partnership agreements strongly preferred.
- Bachelor’s degree required; JD preferred.
- Prior experience supporting global or cross-border contracting activities is a plus.
