Commercial Contracts Attorney

Location: Remote (North America) | Employment Type: Contract (20 Hours/Week)

About the Role

We are seeking an experienced M&A Attorney to support the development of next-generation Legal AI solutions. In this remote contract role, you will leverage your expertise in mergers and acquisitions, contract drafting, negotiation, and redlining to evaluate AI-generated legal work, improve contract review workflows, and help build high-quality AI systems for legal professionals.

Responsibilities

• Review, draft, negotiate, and redline M&A and commercial agreements.
• Evaluate AI-generated contract analyses and provide expert legal feedback.
• Perform contract review and negotiation exercises to improve AI model performance.
• Develop evaluation criteria and quality standards for AI-assisted legal tasks.
• Collaborate with research and product teams to enhance AI-driven contract review solutions.
• Identify legal and commercial risks in complex agreements.

Requirements

• J.D. from an ABA-accredited law school.
• Active Bar membership in at least one U.S. jurisdiction.
• Minimum 2 years of M&A experience at a corporate law firm.
• Strong expertise in APAs, SPAs, contract negotiation, redlining, and risk assessment.
• Excellent analytical, communication, and drafting skills.
• Interest in legal technology and AI is highly preferred.

Preferred Qualifications

• Experience with Legal AI, legal technology, or AI training projects.
• Background in private equity, investment funds, or technology transactions.
• Familiarity with legal tech platforms and AI-assisted contract review tools.
