Co-General Counsel

About the Role

We are seeking two dynamic and highly skilled attorneys to serve as Co-General Counsel specializing in Commercial Real Estate. This role provides expert guidance on all legal matters related to property transactions, leasing, development, and regulatory/loan compliance. The ideal candidate will shape our real estate strategy, mitigate risks, and ensure adherence to legal standards across diverse projects.

Responsibilities

  • Serve as legal advisor on business matters and real estate transactions.
  • Review, draft, and negotiate agreements, including lease agreements.
  • Advise on property management issues and business development, finance, and other department staff on legal risks, deal structures, approval processes, company policies, property rights, and negotiation strategies.
  • Manage lender compliance reporting; CMBS loan experience preferred.
  • Negotiate, review, and manage lender loans, abstracts, and debt structures.
  • Assist with HR matters and property tax appeals.
  • Create legal entities and assist with corporate structure.
  • Monitor and maintain corporate governance practices, including preparing and filing corporate documents with local and state governments.
  • Negotiate deal terms with company personnel and outside advisors.
  • Review vendor contracts and determine appropriate legal and business language to minimize risk.
  • Review and analyze documents to ensure fulfillment of contractual obligations.
  • Ensure contract provisions are implementable and administrable post-execution.
  • Support continuous improvement of standard forms, agreements, and legal processes.
  • Participate in the formulation and execution of business objectives, strategies, and policies.
  • Provide legal guidance to meet business needs and handle special projects as required.
  • Supervise litigation matters, including analyzing threats, defense strategies, and settlement negotiations.
  • Provide internal legal recommendations and resolve business legal issues efficiently.

Requirements

  • Juris Doctor (J.D.) from an American Bar Association (ABA) accredited law school.
  • Active, "in good standing" license to practice law in California.
  • Bachelor’s degree from an accredited university, preferably in Finance, Economics, Business Administration, or Real Estate.

Physical Requirements

  • Movement within an office complex environment.
  • Extensive use of keyboard and handwriting for general office functions.
  • Continuous communication by speech and hearing.
  • Visual acuity for close detail work and computer use.
  • Ability to sit for extended periods.
  • Occasional walking, standing, stooping, kneeling, crouching, and reaching with hands and arms.
  • Occasional lifting and carrying of up to 20 pounds (periodic lifting of supplies).

Work Environment

The role is performed in a general office environment with moderate noise levels.
