Capital Markets / Securities Associate Attorney

What You’ll Be Doing

• Lead and execute a wide range of corporate finance transactions, including public and private securities offerings
• Advise on equity offerings, warrants, convertible instruments, and at-the-market (ATM) programs
• Counsel clients on securities law compliance, disclosure obligations, and ongoing reporting requirements
• Support alternative public market strategies, including de-SPAC transactions, reverse mergers, and direct listings
• Draft and negotiate offering documents, registration statements, transactional agreements, and related securities filings
• Partner closely with senior attorneys and clients on complex strategic transactions and regulatory matters

What We’re Looking For

• 3+ years of capital markets and securities experience with a law firm
• Strong experience handling securities offerings and broader corporate transactional matters
• Deep working knowledge of the Securities Act, Exchange Act, and applicable stock exchange regulations
• Exceptional drafting, negotiation, and communication skills
• Ability to manage multiple active transactions and competing deadlines in a fast-paced practice
• Juris Doctor (JD) required
• Previous experience working in a law firm is required
• Admission to at least one U.S. state bar (New York preferred)
