Capital Markets / Public Company Associate (Multi-Office)

About the Role

DLA Piper is seeking a mid to senior-level corporate associate to join its California, New York, or Phoenix offices. This associate will practice in public company reporting and compliance, corporate governance, capital markets, and work directly with public companies. The role offers an opportunity to join a dynamic and growing securities practice within a leading global law firm, focusing on life science, technology, and digital asset verticals for innovative issuer and underwriter clients.

Responsibilities

• Conduct thorough legal research and analysis to support transaction preparation and strategy.
• Draft legal documents, including memos, contracts, and correspondence.
• Assist/manage complex transactions from inception to resolution, including trials, negotiations, settlements, and closings.
• Build and maintain strong internal and external client relationships by providing regular updates, advice, and addressing concerns professionally.
• Collaborate with lawyers and business professionals to develop innovative transaction strategies.
• Participate in client calls, meetings, and negotiations.
• Ensure compliance with legal standards and regulations, staying updated on changes in law and precedents.
• Engage in professional development and contribute to firm programs, pro bono work, and community involvement.

Requirements

• Minimum 4 years of public company and capital markets experience.
• Experience working with public companies on ongoing periodic reporting.
• Strong knowledge of the Securities Act of 1933, the Securities Exchange Act of 1934, and Nasdaq/NYSE listing and governance requirements.
• Experience structuring and executing securities offerings and providing disclosure advice.
• Direct AmLaw 100 law firm experience preferred.
• Admitted to practice in the state of officing.
• JD degree from an accredited law school.

Pay

The expected hiring range for this position is $310,000 - $420,000 per year, depending on geographic market location, experience, skills, and qualifications. Comprehensive benefits include medical/dental/vision insurance and a 401(k) plan.

Schedule

Hybrid work environment with regular in-office presence and some flexibility for work-from-home.
