Capital Markets / Public Company Associate (Multi-Office)

DLA Piper is seeking a mid to senior-level corporate associate to join its California, New York, or Phoenix offices. This associate will practice in public company reporting and compliance, corporate governance, capital markets, and work closely with public companies. The role offers an opportunity to join a dynamic and growing securities practice within a leading global law firm focused on life science, technology, and digital asset verticals for innovative issuer and underwriter clients.

About the role

This associate will support DLA Piper's national capital markets and public company advisory practice. Experience working in a large firm is preferred.

Requirements

• JD degree from an accredited law school.
• Admitted to practice in the state where you are based.
• Minimum 4 years of public company and capital markets experience.
• Experience with public companies' ongoing periodic reporting.
• Strong knowledge of the Securities Act of 1933, the Securities Exchange Act of 1934, and Nasdaq/New York Stock Exchange listing and governance requirements.
• Experience working with issuers, underwriters, and other financial intermediaries in structuring and executing innovative and complex securities offerings, and providing disclosure advice.
• Direct experience in an AmLaw 100 law firm is preferred.

Responsibilities

• Conduct thorough and comprehensive legal research and analysis to support transaction preparation and strategy.
• Draft well-written, error-free, and reasoned legal documents, including memos, contracts, and correspondence.
• Assist and manage a variety of complex transactions from inception to resolution, including preparing for trials, negotiations, settlements, and closings.
• Build, maintain, and cultivate strong internal and external client relationships by providing support, regular updates, advice, and addressing concerns professionally.
• Collaborate with other lawyers and business professionals to develop innovative transaction strategies for favorable client outcomes.
• Attend, support, and participate in high-level legal activities, including client calls, meetings, and negotiations.
• Ensure rigorous compliance with legal standards and regulations, staying updated on changes in law and legal precedents.
• Proactively seek and participate in ongoing training and development opportunities to enhance legal knowledge and skills.
• Engage in firm programs, civic and professional organizations, and pro bono work to support underserved communities.

Physical Demands

Hybrid: Regular in-office presence with some flexibility for work-from-home, as determined by the firm.

Pay

The firm’s expected hiring range for this position is $310,000 - $420,000 per year, depending on the candidate’s geographic market location, experience, skills, educational and professional background, and overall qualifications.
