Capital Markets / Public Company Associate (Multi-Office)
DLA Piper is seeking a mid to senior-level corporate associate to join its California, New York, or Phoenix offices. This role focuses on public company reporting and compliance, corporate governance, capital markets, and daily collaboration with public companies. The position supports a dynamic and growing securities practice within a leading global law firm, specializing in life science, technology, and digital asset verticals for innovative issuer and underwriter clients.
Requirements
- JD degree from an accredited law school.
- Admitted to practice in the state where you are based.
- Minimum 4 years of public company and capital markets experience.
- Experience with public companies’ ongoing periodic reporting.
- Strong knowledge of the Securities Act of 1933, the Securities Exchange Act of 1934, Nasdaq, and New York Stock Exchange listing and governance requirements.
- Experience working with issuers, underwriters, and other financial intermediaries in structuring and executing innovative and complex securities offerings, as well as providing disclosure advice.
- Direct experience in an AmLaw 100 law firm preferred.
Responsibilities
- Legal Research: Conduct thorough and comprehensive legal research and analysis to support transaction preparation and strategy.
- Legal Writing: Draft well-written, error-free, and reasoned legal documents, including memos, contracts, and correspondence.
- Transaction Assistance and Management: Assist or manage a variety of complex transactions from inception to resolution, including preparing for trials, negotiations, settlements, closings, and other legal activities while demonstrating strong judgment.
- Internal/External Client Interaction: Build, maintain, and cultivate strong internal and external client relationships by providing support, regular updates, advice, and addressing concerns promptly and professionally.
- Collaboration: Work collaboratively with other lawyers and business professionals to develop innovative transaction strategies and achieve favorable outcomes for clients.
- Compliance: Ensure rigorous compliance with legal standards and regulations, staying abreast of changes in law and legal precedents.
- Professional Development: Proactively seek and participate in ongoing training and development opportunities to enhance legal knowledge, practice technology, management, and leadership skills.
- Firm Citizenship and Community Involvement: Engage in and contribute to firm programs, civic and professional organizations, and pro bono work by providing legal assistance to underserved and underrepresented communities.

Physical Demands

Pay
The firm’s expected hiring range for this position is $310,000 - $420,000 per year, depending on the candidate’s geographic market location. Compensation will also depend on the candidate’s experience, skills, educational and professional background, and overall qualifications.
