DLA Piper is seeking a mid to senior-level corporate associate to join its California, New York, or Phoenix offices. This role focuses on public company reporting and compliance, corporate governance, and capital markets, working closely with public companies in life science, technology, and digital asset verticals.

About the role

This is an opportunity to join a dynamic and growing securities practice within a leading global law firm, supporting DLA Piper's national capital markets and public company advisory practice. The ideal candidate will have experience working in a large firm and a strong background in public company and capital markets matters.

Requirements

  • JD degree from an accredited law school.
  • Admitted to practice in the state where you will be officing.
  • Minimum 4 years of public company and capital markets experience.
  • Experience with ongoing periodic reporting for public companies.
  • Strong knowledge of the Securities Act of 1933, the Securities Exchange Act of 1934, and Nasdaq/New York Stock Exchange listing and governance requirements.
  • Experience working with issuers, underwriters, and financial intermediaries in structuring and executing complex securities offerings and providing disclosure advice.
  • Direct experience in an AmLaw 100 law firm is preferred.

Responsibilities

  • Conduct thorough legal research and analysis to support transaction preparation and strategy.
  • Draft well-written, error-free legal documents, including memos, contracts, and correspondence.
  • Assist and manage complex transactions from inception to resolution, including trials, negotiations, settlements, and closings.
  • Build and maintain strong internal and external client relationships through regular updates, advice, and professional communication.
  • Collaborate with other lawyers and business professionals to develop innovative transaction strategies.
  • Attend and participate in high-level legal activities, including client calls, meetings, and negotiations.
  • Ensure rigorous compliance with legal standards and regulations, staying updated on changes in law and legal precedents.
  • Proactively seek ongoing training and development opportunities to enhance legal knowledge and leadership skills.
  • Engage in firm citizenship, community involvement, and pro bono work for underserved communities.

Pay

The firm’s expected hiring range for this position is $310,000 - $420,000 per year, depending on geographic market location, experience, skills, and qualifications.
