We are seeking an experienced Capital Markets Paralegal to support corporate transactions and securities matters. This role plays a key role in managing transaction documentation, conducting due diligence, coordinating closings, and supporting public company compliance activities.

Responsibilities

  • Manage multiple corporate and capital markets transactions with minimal supervision.
  • Prepare, review, and proofread legal documents for accuracy, content, and formatting.
  • Assist with securities offerings, public company filings, mergers and acquisitions, and financing transactions.
  • Coordinate due diligence processes, maintain transaction checklists, and support closing activities.
  • Prepare corporate records, board materials, resolutions, questionnaires, and transaction documents.
  • Conduct legal and factual research using various research platforms and public databases.
  • Organize and maintain confidential client and transaction information.
  • Support pre-closing, closing, and post-closing requirements.

Requirements

  • Bachelor's degree required.
  • Paralegal certificate preferred.
  • 8+ years of corporate or capital markets paralegal experience.
  • Experience supporting IPOs, SEC filings, public company compliance, and securities transactions.
  • Strong understanding of corporate and securities laws and regulatory requirements.
  • Proficiency with Microsoft Office applications, including Outlook, Excel, and PowerPoint.
  • Excellent research, organizational, written, and verbal communication skills.
  • Ability to manage competing priorities while maintaining exceptional attention to detail.

Preferred Background

  • Knowledge of public company reporting, stock exchange filings, equity management, and transactional documentation.
