Responsibilities

  • Advise clients on public and private securities offerings, including IPOs, follow-on offerings, registered direct offerings, PIPE transactions, and private placements
  • Draft and review registration statements, prospectuses, offering memoranda, and related transaction documentation
  • Prepare and review SEC filings, including Forms 10-K, 10-Q, 8-K, and proxy statements
  • Counsel public companies on securities law compliance, disclosure obligations, and corporate governance issues
  • Conduct legal due diligence for securities offerings and corporate transactions
  • Manage transaction execution from inception through closing
  • Collaborate with partners and clients on strategic capital-raising initiatives
  • Research and analyze securities regulations, stock exchange requirements, and legal developments
  • Support publicly traded and emerging growth companies with ongoing reporting and regulatory matters
