Key Responsibilities
- Advising on public and private equity and debt offerings, including IPOs and follow-on offerings
- Drafting and reviewing registration statements, proxy statements, and S-4s in connection with business combination transactions
- Interfacing with the SEC and other regulators
- Counseling public companies on ongoing reporting obligations under the ’34 Act, including 10-Ks, 10-Qs, 10-Ks, and proxy statements
- Advising on corporate governance and securities compliance matters
- Representing issuers and, where applicable, underwriters
- Supporting client development and maintaining strong client relationships
- JD required
- 5–7 years of prior experience at a law firm, ideally within a peer capital markets or BigLaw environment
- Substantial experience with securities offerings and public company reporting
- Strong drafting, negotiation, and client management skills
- Sound judgment and the ability to manage matters independently
- New York bar admission required
- Competitive base salary range of $365,000–$420,000, depending on experience and qualifications
