B2B - Healthcare Counsel
About the role
The B2B team at CookUnity operates like a startup within the company, focusing on bringing exceptional culinary experiences to businesses, organizations, and their employees. This role is designed for an experienced healthcare attorney who wants meaningful, substantive work without a full-time commitment.
Responsibilities
- Serve as the day-to-day healthcare advisor to the B2B team on deals, product launches, and operational questions, including those involving healthcare counterparties (payors, providers, MA plans, MCOs, digital health, employer health programs, and similar).
- Draft, review, and negotiate B2B contracts — master services agreements, statements of work, BAAs, data use agreements, and program-specific addenda — against CookUnity’s playbook.
- Lead HIPAA compliance for the B2B line: structure Business Associate Agreements, advise on permitted uses and disclosures of PHI, evaluate data flows, and partner with security, product, and engineering on safeguards and minimum-necessary analysis.
- Advise on Food is Medicine, Medically Tailored Meals, supplemental benefits (including Medicare Advantage SSBCI and SNP frameworks), Medicaid 1115 waivers, and similar healthcare-funded meal programs.
- Spot-check exposure under fraud and abuse laws (Anti-Kickback Statute, Stark, beneficiary inducement, state analogs) and elevate complex issues to the GC and outside counsel as appropriate.
- Support state licensure, telehealth-adjacent, and food-as-medicine regulatory questions as they arise.
- Help build durable infrastructure: templates, playbooks, training, and internal guidance that scale with the B2B team.
- Partner with the GC on escalations, novel issues, and risk framing for the executive team.
Requirements
- J.D. and active license to practice law in at least one U.S. jurisdiction; in good standing.
- Minimum 5 years of post-J.D. experience with a substantive focus on healthcare regulatory, healthcare transactional and general commercial matters.
- Strong contract drafting and negotiation skills in a commercial context.
- Demonstrated expertise in HIPAA / HITECH (Privacy, Security, and Breach Notification Rules) — including drafting and negotiating BAAs, advising on PHI use cases, and counseling on incident response.
- Working familiarity with one or more of: Medicare Advantage supplemental benefits (SSBCI / SNP), Medicaid managed care, 1115 waivers, Food is Medicine / Medically Tailored Meals frameworks, state insurance and licensure regimes.
- Comfortable operating as a [fractional, embedded] legal partner — highly responsive, organized, and able to triage independently.
- Excellent judgment on when to decide, when to escalate, and when to bring in outside specialists.
- Combination of reputable law firm training (with a preference for healthcare regulatory or healthcare transactions practice) and prior in-house experience (again, with a preference for experience at a healthcare company — payor, provider, digital health, PBM, MA plan, or similarly regulated organization).
- Experience supporting a B2B sales motion.
- Familiarity with state privacy laws (CCPA/CPRA, Washington My Health My Data Act, and similar) as they intersect with health data.
- Prior experience advising a food, nutrition, or consumer health company.

Pay
All final pay rates will be determined by the candidate's experience, knowledge, skills, and abilities of the applicant, internal equity, and alignment with market data.
Pay Range for this position: $150,000 - $200,000 base.
