What You’ll Do
We are seeking an experienced C&I Finance Attorney with 4+ years of experience in commercial and industrial transactions, asset-based lending, leasing, and commercial finance. This role involves working on complex deals and offering strategic counsel to a diverse client base. You will handle institutional lenders, regional banks, and corporate borrowers, managing C&I transactions from initial term sheets to post-closing compliance.
Key Responsibilities
Prepare and negotiate purchase and sale agreements, commercial leases, easements, and related real property agreements.
Draft, review, and negotiate financing documents, including term loans, revolving credit facilities, security agreements (UCC filings), guarantees, and intercreditor agreements.
Draft, review, and negotiate purchase/sale agreements and joint venture agreements.
Manage due diligence, including title, survey, and lease reviews, as well as collateral matters for C&I loans (corporate structure, lien searches).
Advising clients on transaction structures, collateral packages, and closing complex deals.
Support leasing matters as needed.
Manage and coordinate all aspects of C&I commercial finance closings.
What You’ll Bring
Juris Doctor (J.D.) degree with excellent academic credentials.
Admission to the New York and/or New Jersey Bar required; admission to the Florida Bar is a plus.
4+ years of transactional and/or commercial finance experience, specifically including C&I lending.
Strong drafting, negotiation, and organizational skills.
Ability to work independently, multitask effectively, and collaborate as a team player.
Excellent writing and communication skills.
Familiarity with UCC Article 9 secured transactions strongly preferred.
Self-starter with attention to detail and a proactive work ethic.
Compensation & Benefits
We offer a competitive salary, an excellent benefits package, and a collaborative, friendly work environment. The salary range for this role is $150,000-$220,000. Actual salary will be commensurate with the candidate’s qualifications and relevant experience.
