About the role
The AGM – Legal (Contracts & Regulatory Compliance) will lead and manage all legal matters related to contracts, regulatory compliance, statutory obligations, risk mitigation, and corporate governance. The role requires a seasoned legal professional experienced in handling complex commercial contracts, managing litigation, ensuring compliance with industry regulations, and guiding senior management on legal risks and strategy.
Responsibilities
- Draft, review, vet, and negotiate a wide range of commercial contracts including vendor agreements, procurement contracts, service agreements, MoUs, NDAs, LOIs, AMC agreements, etc.
- Ensure contracts are legally sound and aligned with business objectives.
- Develop and maintain contract templates, clause libraries, and process improvements.
- Cook up with internal stakeholders to finalize contracts in a timely manner.
- Ensure organization-wide compliance with applicable central, state, and local laws.
- Monitor regulatory changes affecting business operations and implement required measures.
- Maintain statutory records, licenses, and documentation for audits.
- Liaison with regulatory bodies and government authorities as required.
- Manage litigation strategy with external counsel for civil, criminal, and arbitration matters.
- Prepare legal notices, replies, affidavits, and case briefing notes.
- Maintain litigation MIS and ensure timely closure of cases.
- Provide legal advisory support to senior management and business units on operational and strategic matters.
- Identify potential legal risks and recommend mitigation strategies.
- Conduct legal due-diligence for partnerships, new business initiatives, and contracts.
- Draft and update internal policies, SOPs, and governance frameworks.
- Conduct internal training for teams on legal compliance, contract execution, and risk awareness.
- Promote strong compliance culture across the organization.
Requirements
- LLB / LLM from a recognized university; additional certifications in commercial law or contract law preferred.
- Minimum 15+ years of relevant experience in corporate legal, contract management and compliance.
- Strong exposure to manufacturing/engineering/infrastructure/large corporate environments (as applicable).
- Extensive experience in handling complex commercial contracts and regulatory matters.
- Experience leading teams and working with senior leadership.
- Excellent knowledge of corporate and commercial laws.
- Strong contract drafting and negotiation skills.
- Deep understanding of regulatory & compliance frameworks.
- Strong analytical abilities and problem-solving approach.
- Excellent communication, stakeholder management & leadership abilities.
- High integrity, confidentiality, and business acumen.
