Responsibilities
- Support the negotiation, drafting, review, and execution of project finance and tax equity transactions, including credit agreements, tax equity investment documents, guarantees, security documents, intercreditor agreements, and related ancillary agreements.
- Carefully coordinate transaction execution processes, including management of closing checklists, signature packets, conditions precedent, and post-closing deliverables.
- Work closely with internal finance teams and external counsel to support debt financings, tax equity financings, and other strategic transactions.
- Aid in identifying legal and commercial risks and provide practical, business-oriented solutions.
- Support internal stakeholders in evaluating contractual obligations and mitigating risk while maintaining efficient business operations.
- Support Lead project entity formation, assist with corporate governance matters, and support maintenance of entities, legal records and organizational documentation.
- Draft, review, and negotiate a broad range of commercial agreements, including vendor agreements, NDAs, consulting agreements, and service agreements.
- Support project development and operations teams on day-to-day legal matters related to renewable energy projects.
- Partner effectively with finance, development, procurement, commercial operations, and leadership teams to help drive projects and transactions forward.
- Cook up with outside counsel, lenders, investors, and counterparties throughout transaction lifecycles.
- Stay informed on legal and regulatory developments impacting renewable energy, project finance, and energy storage sectors.
- Help maintain internal processes and documentation standards to support legal compliance and transaction management.

Required education and experience
- J.D. from an accredited law school and admission to practice law in New York (or ability to waive in).
- 3+ years of relevant legal experience, including experience at a major law firm.
- Hands on experience supporting project finance and tax equity transactions.
- Experience representing sponsors, lenders, tax equity investors, or developers in renewable energy or infrastructure transactions strongly preferred.
- Strong drafting, negotiation, and organizational skills with exceptional attention to detail.
- Demonstrated ability to manage multiple complex transactions simultaneously and drive matters to completion.
- Experience reviewing and negotiating commercial agreements and transaction documents.
- Strong business judgment and the ability to provide practical legal advice in a fast-paced environment.
- Collaborative, responsive, and proactive approach with strong interpersonal and communication skills.
- Interest in renewable energy, energy storage, and infrastructure development preferred.
