Duties And Accountabilities
- Advises public and private companies, underwriters and financial institutions on a wide range of capital markets transactions, including IPOs, registered follow-on and secondary offerings, SPAC IPOs, de-SPAC transactions, direct listings, private placements, PIPEs, ATM programs and other securities transactions.
- Drafts, reviews and negotiates transaction documentation, including registration statements, prospectuses, underwriting agreements, securities purchase agreements and offering memoranda.
- Supports public company clients with ongoing SEC reporting and disclosure matters, including periodic reports, current reports, proxy materials and SEC comment responses.
- Takes ownership of key aspects of transactions, managing drafting processes and coordinating execution with partners, clients, opposing counsel and internal teams.
- Works on capital markets–adjacent M&A and strategic transactions, including tender and exchange offers, acquisitions, divestitures, business combinations, joint ventures and strategic collaborations.
- Collaborates closely with colleagues across finance, tax, regulatory, intellectual property and M&A practices to deliver integrated, business-focused solutions.
- Develops into a trusted advisor by gaining a strong understanding of both the legal and commercial aspects of transactions.
- Contributes to the firm’s thought leadership in writing client alerts and submitting comment letters on SEC proposals.
Qualifications
- Juris Doctor (JD) degree (or LL.M./foreign equivalent) from an accredited law school.
- Admission to the New York Bar (or eligibility to become admitted) and in good standing.
- Approximately 4+ years of relevant law firm or in-house transactional experience.
- Experience advising on equity and/or debt capital markets transactions.
- Strong drafting, analytical and negotiation skills.
- Familiarity with SEC reporting and disclosure requirements for public companies.
- Commercial awareness and ability to see the broader business context.
- Strong communication, organization and time-management skills.
- Ability to manage multiple matters efficiently and perform well under pressure.
- Client-service oriented, collaborative and proactive.
- Driven by professional growth and long-term interest in business law.
- Fluency in English; international experience is a plus.
