The Opportunity
You will work closely with deal teams advising private equity sponsors, portfolio companies, and financial institutions on a broad range of leveraged finance transactions. The practice regularly handles sophisticated financings including acquisition financings, recapitalizations, and refinancings across a variety of industries.
Key Responsibilities
- Advise clients on leveraged finance transactions and acquisition financings
- Assist with asset-based lending facilities and term loan structures
- Work on senior secured and mezzanine debt financings across complex capital structures
- Support dividend recapitalizations, refinancings, and restructuring transactions
- Draft and negotiate key documentation including credit agreements, commitment papers, and related financing instruments
- Manage transaction components including signings, closings, and coordination of deal workstreams
- Collaborate with sponsors, lenders, and internal deal teams on complex financing matters
Ideal Candidate Profile
- 4–5 years of experience in leveraged finance, debt finance, or sponsor finance within a sophisticated law firm environment
- JD required and prior experience working in a law firm
- Experience representing private equity sponsors, corporate borrowers, lenders, or financial institutions
- Strong background drafting and negotiating credit agreements and debt commitment documentation
- Exposure to middle-market sponsor-backed transactions or private credit financings is advantageous
- Excellent drafting, analytical, and communication skills
- Active New York Bar membership
