Position Snapshot

The Assistant General Counsel – Finance will serve as the lead internal legal resource for Zelestra’s project finance and tax monetization transactions, playing a critical role in supporting the company’s ambitious U.S. growth strategy and renewable energy pipeline. This role requires sophisticated finance expertise, strong business judgment, and the ability to operate effectively in a fast-paced, collaborative environment. The role will partner closely with senior leadership, finance, operations, engineering, procurement, development teams, and external stakeholders to structure, negotiate, and execute transaction. While the primary focus will be on finance transactions, the Assistant General Counsel – Finance will also support project development and M&A transactions as business needs allow, offering broad exposure to key strategic initiatives across Zelestra’s U.S. platform.

Position Qualifications & Experience

  • Juris Doctor (JD) from an accredited law school; active bar membership in at least one U.S. state.
  • 8+ years of legal experience focused primarily on financing transactions and ideally with a mix of law firm and in-house roles.
  • Deep experience with project finance and tax monetization structures.
  • Expertise in energy finance, power marketing, renewable energy development.
  • Strong analytical, communication, and stakeholder-management skills.

Position Responsibilities

Lead Strategic Finance Transactions

  • Lead Zelestra’s primary internal legal advisor for complex project finance transactions, including back-leverage, construction/term debt, tax equity bridge, and tax credit transfer bridge facilities.
  • Partner with business, finance, development, and external legal teams to structure, negotiate, and execute financing transactions.
  • Advise on equipment financing, invoice financing, and other capital solutions that support project delivery and commercial objectives.
  • Manage borrower-side diligence efforts, ensuring timely, coordinated, and business-oriented responses to lender, investor, and counterparty requests.
  • Drive closing execution by coordinating key legal workstreams, including real estate, permitting, interconnection, environmental, and other project-related conditions.
  • Manage and provide strategic direction to external counsel to ensure practical, efficient, and high-quality legal support.

Support Commercial and Development Transactions

  • Draft, review, and negotiate a broad range of commercial agreements that support the development, construction, financing, and operation of utility-scale renewable energy projects.
  • Advise internal teams on site control, interconnection, permitting, environmental, and other project development matters.
  • Provide pragmatic legal guidance that balances risk management with business objectives in a fast-moving renewable energy environment.

Advisory on Governance and Internal Legal Matters

  • Support corporate governance, board-related matters, and the continued development of internal policies, templates, and legal processes.
  • Help strengthen scalable legal infrastructure as Zelestra continues to grow its U.S. platform.

Compensation & Benefits

The salary for this position will be based on the candidate's experience and qualifications based on a remote-working environment, and takes into consideration, among other things. The initial annual salary range is: $180,000 - $280,000.
