Assistant General Counsel - Corporate

About the role

This is a permanent, onsite role in Scottsdale, AZ for a corporate attorney to lead general corporate governance and securities matters, including Board and committee support, subsidiary management, and SEC compliance.

Responsibilities

• Lead general corporate governance and securities matters
• Assist with Board of Directors and committee meeting materials and minutes
• Draft and review resolutions and other corporate documents to ensure conformity with legal and governance standards
• Handle subsidiary management and SEC compliance
• Provide legal support for M&A, joint ventures, and strategic transactions
• Support corporate governance and corporate secretary functions, including maintaining governance policies and advising on subsidiary governance
• Partner with the General Counsel and executive team on material legal and risk management matters
• Oversee outside counsel budgets and develop processes to improve compliance and efficiency

Requirements

• 5+ years of experience with securities law and public company compliance matters, including SEC and stock exchange filings, investor communications, Regulation FD, and annual shareholder meetings
• Proven leadership capabilities and outstanding communication skills
• Experience in a manufacturing industry and exposure to global trade matters preferred
• Excellent academic credentials
• Licensed to practice law and in good standing
• Outstanding references required

Pay

The salary range for this role is $185,000 – $205,000. This position is also eligible for bonuses and equity compensation. Pay is based on multiple factors including, but not limited to, work experience, qualifications, credentials, and location.
