Asset Management Attorney
About the role
A respected financial services institution seeks an Asset Management Attorney for its New York Legal Department. This role supports broker-dealer and investment adviser functions, including managed accounts, private and registered funds, and other investment offerings. The attorney will partner with legal, compliance, and asset management teams while advising on sophisticated matters.
Responsibilities
Provide legal guidance on investment products; draft key agreements related to fund distribution and assist with fund formation matters. Partner with compliance teams to review marketing materials, maintain client agreements, and support Form ADV updates. Conduct legal research on regulations affecting wealth managers and asset managers and contribute to discrete legal projects as needed.
- Provide day-to-day legal advice with respect to products and services of asset management firm, which include separately managed account investment advisory programs, private and registered investment funds and other investment offerings.
- Draft, review and negotiate placement agent agreements and other distribution agreements, as well as non-disclosure agreements, in connection with distribution of third-party investment funds on the firm's investment platform; assist with fund formation and review for proprietary investment funds.
- Review, negotiate and update investment management agreements with third party managers for sponsored "wrap fee" investment advisory programs, as well as other ancillary agreements.
- Update and maintain advisory client agreements and other form agreements.
- Advise firm on the marketing and advertising matters under the SEC Marketing Rule and the applicable FINRA requirements for the dually registered broker-dealer and investment adviser, including preparing appropriate disclosures for marketing materials.
- Assist in the preparation of the Form ADV brochures and amendments thereto for several registered investment advisers; including partnering with firm's Compliance and other stakeholders as needed.
