Corporate Governance
Corporate Governance:
- Provide guidance for continuous update of company process maps as well as policy and procedures manuals.
- Conduct analytical tasks related to division and internal committee activities to improve functionality.
- Benchmark and propose governance framework changes.
Responsibilities
- Ensure availability and accuracy of internal and external committee charters by analyzing and reviewing charters for internal and external committees, verification of information and charters, and apply amendments and publish updates.
- Conduct surveys to determine and improve functionality of internal committees, design and disseminate survey questionnaires, compile and analyse data, and report results with recommendations to management.
- Monitor the Action Tracking System in order to follow up on timely posting of committee findings by committee representatives and follow up progression of work.
- Research practices and trends for the development of Employee Handbook in areas such as code of conduct, business ethics and office etiquette. Maintain handbooks and update whenever is required.
- Participate in multidisciplinary and cross-functional teams to benchmark and review corporate governance framework in order to keep abreast with national and international trends of corporate governance and develop reports and proposals for amendment.
Qualifications & Experience
- Minimum Qualification: Bachelor Degree Accounting or Business Administration or equivalent.
- Minimum Experience: 10 years.

Enterprise Risk Management
- Support developing Fraud Scenario Assessment (FSA) policies and procedures. Manage and advise on improvements to FSA practices and associated changes; liaise with internal and external stakeholders.
- Educates Company’s associates on the probability, nature and scope of fraudulent scenarios on Company’s businesses.
- Advises on the appropriateness of different approaches to Assess Fraud Scenarios.
- Affirms the potential impact of the external environment.
- Implements plans and priorities to deliver FSA objectives within agreed timescales and budgets.
- Implements FSA objectives ensuring that ownership and responsibilities are fulfilled within authority limits.
- Reviews the effectiveness of FSA policy and processes and the use of resources.
- Reports on the impact of fraud scenarios within the Company.
- Interprets facts, patterns and trends to reach evidence-based decisions on the nature of fraud scenarios and the existing controls.
- Prioritizes fraud scenarios in terms of likelihood and consequence of occurrence.
- Evaluates interdependencies between fraud scenarios.
- Maintains the effectiveness of an organization's approach to reduce high fraudulent scenarios.
- Ensures the continuing coordination with ERM team.
- Provides support that incentivizes people to take responsibility for managing fraud scenarios within the limits of their role.
Qualifications & Experience
- Minimum Qualification: Bachelor Degree in degree in Statistics / Economics / Finance or a related quantitative field.
- Minimum Experience: 10 years of experience in similar position.
- Proficient level of computer skills, focus on effective use of MS Office programs.
- Understanding of ISO 31000 and COSO ERM Framework standards.
