VP, Funds Counsel - Alternative Asset Manager

About the role

Our client, an alternative asset manager focused on private equity and private credit, is making its first legal hire. The Funds Counsel will join the team as the firm continues to grow, working closely with senior leadership and partnering with the wider business—especially the investment team—on ongoing transactions. This individual will also collaborate with the Chief Compliance Officer on risk management frameworks while owning fund formation for the firm’s private funds and ongoing investments. The role is based in-office, five days a week onsite.

Responsibilities

• Provide legal oversight and strategic advice on a wide range of organizational, operational, and transactional matters, including legal and regulatory due diligence throughout the deal process.
• Draft and negotiate contracts, fund formation and adjacent materials, and investor relation documents.
• Partner with compliance leadership to strengthen risk-management practices.
• Address ongoing legal needs across the organization as needed.
• Effectively manage outside counsel.

Qualifications

• Juris Doctor degree from an ABA-accredited law school.
• Active Bar Membership.
• 5+ years of relevant legal experience in private equity or investment management, obtained in either Big Law or in-house.
• Strong understanding of investment fund structures and related operational, compliance, and reporting considerations.
