About the role

As the senior-most legal officer of an organization of approximately 5,000 employees operating across 78 locations, this position represents the company’s interests and aligns legal strategy with business goals. The role builds and leads the legal function and is responsible for corporate risk, contract review and negotiation, legal and regulatory compliance, direction and resolution of litigation, intellectual property, corporate governance, and management of outside counsel and the legal budget.

Responsibilities

  • Provide expert legal guidance to the executive team, owners, and other departments to support decision-making.
  • Draft, review, and negotiate various contracts and other legal documents that align with the company’s interests and goals.
  • Ensure adherence to local, state, and federal laws and regulations, identify potential legal risks, and develop strategies to mitigate them. This includes oversight of healthcare regulatory compliance across all locations, including HIPAA, patient privacy, fraud-and-abuse laws (Anti-Kickback Statute and Stark Law), licensure and accreditation requirements, and applicable CMS and state agency regulations.
  • Manage litigation, coordinate with external counsel when necessary, and represent the company in court or arbitration proceedings.
  • Oversee corporate policies, bylaws, entity management, board and committee support, and other governance matters that provide for ethical and compliant business practices.
  • Manage and protect the company's intellectual property, including trademarks, patents, and copyrights.
  • Advise on employment law issues, such as contracts, dispute resolution, and compliance with labor laws.
  • Align the legal department's work with overall business objectives and provide strategic advice on matters such as mergers and acquisitions.
  • Oversee leasing, real estate, and related transactional matters across the company’s multi-site portfolio of locations.
  • Advise on data privacy, information security, and breach response, including HIPAA and other applicable privacy and security obligations.
  • Conduct legal research and advise on company policies.
  • Partner with executive leadership on strategic transactions.

Requirements

  • Expert knowledge of corporate law, contract law, and regulatory compliance.
  • Minimum 10 years of combined law firm and in-house experience, including several years in a senior in-house leadership role with responsibility for managing legal staff and outside counsel.
  • Healthcare regulatory experience strongly preferred.
  • Experience supporting a large, multi-site organization across multiple jurisdictions with demonstrated ability to build and lead a legal team and manage outside counsel.
  • Proficiency in managing legal projects and transactions.
  • Exceptional negotiation, communication, and interpersonal skills.
  • Juris Doctor (JD) degree from an accredited law school.
  • Admission to and good standing with at least one U.S. state bar with the ability to manage legal matters across the multiple jurisdictions in which the company operates.
