Transactions Counsel

Key Responsibilities

• Serve as a key point of contact for legal matters related to commercial transactions.
• Collaborate with business leaders and cross-functional teams to provide practical legal guidance and support strategic business initiatives.
• Advise on contract terms, risk allocation, and negotiation strategy.
• Draft, review, and negotiate a variety of commercial agreements, including sales, procurement, supply chain, manufacturing, and service contracts.
• Support domestic and international transactions involving customers, suppliers, and business partners.
• Develop and deliver training on legal, regulatory, and compliance topics.
• Assist with other legal matters and projects as needed.

Qualifications

• Juris Doctor (J.D.) from an accredited law school.
• Licensed to practice law in at least one U.S. jurisdiction.
• Approximately 3–6 years of law firm and/or in-house experience supporting commercial transactions, procurement, intellectual property, government contracts, or related areas.
• Strong experience drafting, reviewing, and negotiating complex commercial agreements.
• Knowledge of domestic and international commercial transactions.
• Familiarity with UCC contract principles, procurement practices, and supply chain agreements.
• Exposure to government contracting and Federal Acquisition Regulation (FAR) requirements is preferred.
• Understanding of anti-corruption, anti-money laundering, and related compliance considerations.
• Ability to identify legal and business risks and develop practical, commercially focused solutions.
• Strong communication, stakeholder management, and relationship-building skills.
• Prioritize managing multiple priorities independently while maintaining a high level of professionalism and ethical judgment.
