Responsibilities
- Lead and manage M&A tax engagements including buy side tax due diligence, deal structuring, sell side engagements (including tax gross up calculations), and post-transaction support
- Advises clients or internal stakeholders on tax implications of mergers, acquisitions, dispositions, joint ventures, restructurings, and related transactions
- Performs technical research and analysis on a wide range of M&A tax issues including Section 382, consolidated returns, partnership/LLC matters, and Section 1202
- Reviews and assesses financial and tax data to identify risks, exposures, and opportunities during due diligence processes
- Collaborates with corporate development, legal, finance, and external advisors throughout the deal process
- Supervises, coaches, and mentors junior team members; fosters technical and professional development
- Prepares or reviews technical memos and client deliverables summarizing key tax issues and recommendations
- Stays current on tax regulations and legislative changes that impact M&A strategies and structures
- Supports the development of tools, templates, and best practices to drive process improvement and consistency across M&A engagements
Qualifications
- Bachelor’s degree in Accounting and Master’s in Taxation; JD/LLM preferred
- CPA or Bar admission required
- 5+ years of relevant experience in M&A tax with a public accounting firm, law firm, or corporate tax department
- 2+ years of experience as Manager or equivalent in M&A tax
- In-depth knowledge of U.S. federal income taxation of corporations and partnerships, Subchapter C, Subchapter K, Section 382, Section 338, and Section 1202
- Strong analytical, problem-solving, and communication skills
- Ability to lead projects and collaborate with cross-functional teams
