Tax Director - M&A
About the role
The Tax Director - M&A role at 3M provides an opportunity to transition from other private, public, government, or military experience to a 3M career. This position serves as the strategic tax advisor for all mergers, acquisitions, divestitures, joint ventures, and strategic investments.
Responsibilities
- Develop and execute tax-efficient structures for domestic and international acquisitions, dispositions, and restructurings.
- Lead the tax acquisition and disposition due diligence process including identifying, quantifying, and mitigating historical and structural tax risks.
- Review and negotiate tax representations, warranties, indemnities, and covenants in purchase agreements.
- Own the tax integration of acquired entities, including aligning accounting methods and legal entity rationalization.
- Partner closely with the global tax organization and other functions such as Corporate Development, Legal, Treasury, and Finance teams throughout the deal lifecycle.
- Model and value tax attributes, such as net operating losses (NOLs) and tax basis, to incorporate into financial models.
- Manage external tax advisors, specialized legal counsel, and valuation experts to ensure timely deliverables.
- Structure and plan with other members of the Tax organization to develop and implement internal planning projects.
Requirements
- Bachelor’s degree or higher in Accounting or Tax (completed and verified prior to start).
- Ten (10) years of corporate tax or accounting experience in a private, public, government or military environment.
- Five (5) years of experience with M&A tax, including due diligence and structuring.
- Deep knowledge of Subchapter C, Subchapter K, and international tax principles related to transactions.
- Proven experience managing complex, multi-jurisdictional buy-side and sell-side transactions.
- A strong ability and desire to network across functions within 3M.
- A team player with the ability to operate successfully in a matrix environment, with strong influencing and communication skills.
- Strong analytical and problem-solving skills and a willingness to adapt to changing business environments.
- Experience in international tax and/or tax planning with an ability to model scenarios.
- In-house experience running tax M&A function, including leading buy and sell due diligence, step plan development and execution, and tax-specific contract negotiations.
- A strong understanding of income tax concepts, including M&A and foreign issues impacting US taxpayers.
- Able to work independently on tax research projects and document findings in collaboration with other senior tax team members.
- A highly reliable self-starter with excellent verbal and written communication skills, detail-oriented, and flexible to work on time-sensitive issues under strict deadlines.
Qualifications
- Minimum of a Bachelor’s degree or higher in Accounting or Tax.
- At least 10 years of corporate tax or accounting experience in a private, public, government, or military environment.
- At least 5 years of experience with M&A tax, including due diligence and structuring.
- Deep knowledge of Subchapter C, Subchapter K, and international tax principles related to transactions.

Pay
The expected compensation range for this position is $250,253 - $305,864, which includes base pay plus variable incentive pay, if eligible. This range represents a good faith estimate for this position. The specific compensation offered to a candidate may vary based on factors including, but not limited to, the candidate’s relevant knowledge, training, skills, work location, and/or experience.
Schedule
This role follows an on-site working model, requiring the employee to work at least four days a week at the 3M Center in Maplewood, MN OR, Washington, DC, OR Austin, TX. Travel may include up to 20% Domestic/International Travel.
