Responsibilities
- Serve as primary legal counsel to structured finance and capital markets teams, advising on a broad range of securitization transactions, including asset-backed securities, commercial and residential mortgage-backed securities, and collateralized loan obligations.
- Lead the preparation, review, and negotiation of transaction documentation associated with complex structured products and financing arrangements.
- Partner with business leaders to design and implement new financing structures, products, and strategic initiatives, while coordinating with compliance, risk, operations, and other support functions.
- Evaluate legal and regulatory considerations impacting existing and proposed structured finance activities and provide practical guidance on implementation.
- Assist in developing, enhancing, and maintaining internal policies, governance frameworks, and controls related to securitization and capital markets activities.
- Track legislative, regulatory, and market developments affecting structured products and advise stakeholders on emerging risks, opportunities, and compliance obligations.
- Represent the legal function on cross-functional committees, working groups, and enterprise-wide projects involving regulatory reforms, industry developments, and business transformation initiatives.
- Provide strategic legal advice to front-office professionals and senior management regarding transaction execution, product development, and broader business objectives.
- Conduct legal analysis on complex securities, finance, and regulatory matters and deliver clear, commercially focused recommendations to internal clients.
- Support industry engagement efforts, including participation in trade organizations, market working groups, and regulatory consultations, as well as assisting with responses to proposed rulemaking and policy initiatives.
- Manage relationships with external law firms and professional advisors, overseeing engagement strategy, budgets, and legal expenditures.
- Ensure legal advice and decision-making are aligned with the organization's risk management framework, governance standards, and overall business objectives.
Qualifications
- Juris Doctor degree and admission to practice law in New York.
- Approximately 8+ years of legal experience focused on securitization, structured finance, capital markets, or related financial products, gained at a leading law firm and/or financial institution.
- Deep knowledge of securitization structures, including ABS, RMBS, CMBS, CLOs, warehouse facilities, and related special purpose vehicle frameworks.
- Strong understanding of securities laws, corporate law, bankruptcy and insolvency matters, secured lending concepts, and broader financial regulatory requirements.
- Demonstrated ability to advise both transaction teams and senior business stakeholders on complex financing structures, regulatory developments, and strategic initiatives.
- Experience navigating cross-functional environments and balancing legal, regulatory, commercial, and risk considerations in a fast-paced financial services setting.
