Sr Commercial Attorney
About the role
The Senior Commercial Attorney will be working closely with our customer's in-house legal department and their internal business partners. The attorney will review, redline and negotiate contracts and participate on projects to improve our customer's contractual infrastructure, workflow, and processes.
Responsibilities
- Draft, review, redline, negotiate various customer and third-party contracts and other transactional documents.
- Review contracts against established standards and negotiate acceptable alternatives, working from templates and tools that will be available to you.
- Compare contracts and highlight differences and similarities in template formats.
- Facilitate escalation of unresolved issues, approval and signature.
- Update or draft playbooks and templates, as needed.
- Research and analyze areas of commercial law as relevant to the customer’s business and prospects and prepare position statements for different audiences.
- Quickly understand term positions and fallbacks in a provided playbook, learn how to use CLM tools and adapt to new processes.
Requirements
- Experience: 6-10 years of experience with commercial transactional support, including drafting, reviewing and negotiating commercial contracts, particularly services and supply agreements, software license and SaaS agreements, procurement and other inbound agreements.
- Legal Research: Experience conducting simple to complex legal research and memorandum drafting.
- Track Record: Excellent track record in previous client support/customer service engagements.
- Software Licenses: Prior proven experience in independently negotiating and finalizing Software License Agreements and SaaS Agreements.

Technical Skills
- MS Office: Excellent MS Office skills - capable of preparing PowerPoint, Word, and Excel files without support.
- CLM Software: Proficient in using CLM software.
Qualifications
- JD required.
- Must be barred in the same state as residence.
Pay
US national salary range: $120,000-130,000, based on job-related skills, experience, level, and location. In addition, Elevate offers full-time employees a comprehensive benefits package and PTO.
