Senior Securities Attorney - South Florida / Remote Florida A highly respected Florida business law firm is seeking an experienced Securities Attorney to join its growing corporate and securities practice. This is an opportunity for a sophisticated attorney to work on complex capital markets and corporate matters while having meaningful client contact and the opportunity to play an important role in the continued growth of the practice. The position is open to attorneys located in South Florida, with consideration also given to highly qualified attorneys who are based elsewhere in Florida and interested in a remote arrangement. Position Highlights Compensation: $230,000+ depending on experience and qualificationsLocation: South Florida / Remote within FloridaPractice: Securities / Capital Markets / CorporateSophisticated work involving both public and privately held companiesDirect exposure to clients, transactions and business-critical mattersOpportunity to work alongside experienced attorneys across corporate, securities and transactional practicesCollaborative environment with significant autonomy and responsibilityLong-term opportunity for professional growth within an established Florida law firm Responsibilities The attorney will handle a broad range of sophisticated securities and corporate matters, which may include: Public and private securities offeringsEquity, debt and convertible securities transactionsPrivate placements and exempt offeringsSEC registration statements and periodic reportingSecurities compliance and corporate governanceSEC and regulatory mattersCapital raising transactionsPIPE transactions and other public-company financingsMergers and acquisitionsExchange listing and continued listing mattersPreparation and review of offering and disclosure documentsAdvising public and private companies, investors and other market participantsGeneral corporate and transactional matters associated with securities work Qualifications J.D. from an accredited law schoolActive membership in the Florida BarSignificant experience practicing securities and/or capital markets lawStrong understanding of federal and state securities laws and SEC regulationsExperience advising public and/or private companies on securities mattersExperience with securities offerings, SEC filings, private placements or related capital markets transactionsStrong drafting, analytical and communication skillsAbility to manage sophisticated matters independently while working collaboratively with clients and other attorneys Preferred Experience The ideal candidate will have experience with several of the following: SEC reporting and complianceRegistration statementsPublic offeringsPrivate placementsRegulation D, Regulation S or Regulation A+PIPE transactionsReverse mergersNasdaq or NYSE listing mattersCorporate governanceM&AVenture capital or private equity financingsRepresentation of issuers, investors, funds, placement agents or underwriters Why Consider This Opportunity?
