Senior Legal Counsel - Corporate & Compliance
Responsibilities
Assist in the creation of a compliant legal system suitable for a public company
Lead public company compliance requirements, SEC filings
Manage government reporting on various compliance matters
Responsible for reviewing all contracts including supply chain contracts, consulting agreements, securities purchase agreements, NDAs, etc.
Counsel company management on legal and ethical compliance laws, regulations, and governance
Develop and implement a comprehensive program for legal and ethical compliance that meets all applicable legal requirements and industry standards
Develop and implement training regimens for compliance and governance topics
Manage other legal functions that support corporate internal operation including IP, labor and others
Implement and manage compliance policies, protocols, and training
Audit company procedures, policies, and practices to identify potential risks
Investigate allegations of legal and ethical compliance violations
Qualifications
Basic Qualifications:
Education & Licensure: Juris Doctor (J.D.) degree from an accredited law school, Active membership in good standing with at least one U.S. state bar
Experience: Minimum 10 years of legal experience, including significant in-house and/or top-tier law firm experience
Demonstrated experience supporting public company compliance initiatives and corporate governance matters
Strong experience drafting, reviewing, and negotiating a broad range of commercial agreements, including:
Non-disclosure agreements (NDAs)
Supply chain and vendor agreements
Consulting and services agreements
Technology transactions
Joint development agreements
University research agreements
Securities purchase agreements
Experience advising business stakeholders on intellectual property rights, strategic partnerships, and product development matters
Proven experience counseling management and HR teams on labor and employment law matters, including employee relations, workplace investigations, accommodations, disciplinary actions, and dispute resolution
Experience conducting internal investigations and compliance audits while preserving legal privilege
Experience developing and implementing compliance programs, policies, and employee training initiatives
Experience supporting cross-functional teams including Supply Chain, Engineering, Finance, Human Resources, and Operations
Experience in manufacturing, technology, life sciences, or other regulated industries is a MUST
Legal Knowledge & Technical Expertise: Strong understanding of corporate governance, compliance frameworks, and public company legal requirements
Knowledge of federal and state employment and labor laws, including wage and hour compliance, accommodation, leave laws, anti-discrimination regulations, and workplace investigations
Understanding of intellectual property principles, technology transactions, and commercial contract risk management
Knowledge of compliance reporting obligations and regulatory requirements
Ability to identify legal, operational, and reputational risks and develop practical mitigation strategies

Preferred Qualifications
Additional certifications in corporate compliance, employment law, or corporate governance are a plus
Experience managing SEC filings and regulatory reporting requirements, including Forms 10-K, 10-Q, 8-K, proxy statements, and Section 16 filings preferred
Prior experience managing outside counsel and coordinating legal support across multiple business functions preferred
Familiarity with SEC regulations, securities laws, and corporate disclosure requirements preferred
Experience assisting a private company in preparing for public company readiness
Familiarity with compliance management systems and governance best practices
Experience with litigation management and employment-related claims
Working knowledge of intellectual property protection and licensing matters
Experience developing enterprise-wide compliance and ethics training programs
Ability to support the development, implementation, and maintenance of company policies and procedures designed to minimize legal and compliance risks
Experience assisting with internal investigations, including maintaining legal privilege, assessing risk, and providing strategic guidance on investigative outcomes and corrective actions.
Company Information
Annual Salary Range: ($160,000 - $230,000 DOE), plus benefits and incentive plans
