About the role
MRI Software's Legal team is instrumental in building, scaling, and supporting the framework for global commercial transactions and go-to-market efforts. The Senior Legal Counsel will primarily focus on structuring, drafting, and negotiating commercial and strategic partnerships involving a diverse range of technology products and services.
Responsibilities
- Structure, redline, negotiate, and close a broad range of commercial agreements, including license agreements, SaaS agreements, partnership contracts, and strategic alliances, ensuring favorable terms while balancing business objectives and legal risk
- Own end-to-end legal support for strategic transactions, serving as a primary legal contact for high-value agreements with customers, vendors, and partners
- Assess legal and commercial risk in complex transactions and provide timely, business-focused advice with clear recommendations, practical alternatives to blockers, and methods to accelerate contract velocity
- Collaborate with cross-functional stakeholders, including Sales, Finance, Product, Privacy, Security, Partnership, and Procurement, to solve problems, build partnerships, and achieve business goals
- Develop and improve contract templates, playbooks, and supporting documentation to increase team efficiency and scalability
- Monitor legal and regulatory developments relevant to commercial contracting and translate them into actionable guidance
- Handle other business needs as they arise
Qualifications
- J.D. from an accredited law school and active bar admission (in good standing) in at least one U.S. jurisdiction
- 3-6 years of experience in commercial contract negotiation
- Proven track record of independently leading and closing strategic agreements with enterprise customers, vendors, and partners
- Deep expertise in technology contract terms including licensing models, indemnification, limitation of liability, IP ownership, data protection and privacy provisions
- Experience developing and implementing contract playbooks, templates, and negotiation guidelines at scale
- Strong business judgment with the ability to balance legal risk against commercial objectives and deliver practical, actionable advice
- Excellent written and verbal communication skills with the ability to explain complex legal concepts clearly to business stakeholders
- Proficiency in Microsoft Office Suite and Adobe Acrobat
- Ability to manage multiple priorities, work independently, and thrive in a fast-paced, dynamic environment
- Management experience preferred
