Senior Counsel – Emerging Companies

Skill Requirements

• Experience with emerging companies, startup, or venture capital work
• Ability to manage deals independently from start to finish
• Experience advising founders on corporate, governance, employment, and IP-related issues
• Comfort negotiating directly with company counsel and investor counsel
• Active admission to at least one U.S. jurisdiction

• Strong fit for a remote, U.S.-based role
• Central and Pacific time zones preferred for coverage needs
• Strong interest in AI, legal technology, and modern legal service delivery

Responsibilities

• Independently run venture financings from start to finish
• Manage all aspects of equity issuances, including SAFEs, convertible notes, and other securities offerings
• Assist with corporate formation and structuring
• Provide guidance on corporate governance, employment law, and intellectual property matters
• Negotiate agreements with company counsel and investor counsel
• Stay current with legal developments in emerging companies and venture capital
