Senior Counsel, Corporate M&A – P&C Insurance

About the role

A Senior Corporate/Transactional Insurance Counsel will support a large global insurance carrier with strategic acquisitions, insurance regulatory approvals, corporate governance, cross-border transactions, and post-acquisition integration.

Responsibilities

• Support domestic and cross-border M&A transactions and strategic investments.
• Conduct legal due diligence and advise on transaction structuring and execution.
• Cook up acquisition documentation and closings with outside counsel.
• Coordinate with outside counsel on acquisition documentation and closings.
• Advise on P&C insurance regulatory approvals, change-of-control filings, and holding company matters.
• Support post-acquisition integration, corporate governance, and entity management.
• Draft, review, and negotiate commercial and transaction-related agreements.
• Partner with Finance, Underwriting, Investments, Compliance, and executive leadership on strategic initiatives.
• Monitor insurance regulatory developments impacting corporate transactions.

Qualifications

• J.D. and active U.S. Bar admission.
• 8+ years of corporate/transactional legal experience within a P&C insurance carrier, reinsurer, or insurance-focused law firm.
• P&C Insurance experience.
• Experience supporting M&A, corporate governance, insurance regulatory matters, and strategic transactions.
• Strong understanding of insurance holding company regulations, corporate governance, and insurance regulatory approvals.
• Excellent drafting, negotiation, communication, and stakeholder management skills.

Compensation

$200K – $250K
