Senior Counsel, Capital Markets
About the role
The Senior Counsel, Capital Markets will support a broad range of corporate transactional matters, including capital markets transactions, M&A, and strategic investments. Duties include drafting, negotiating, and reviewing transaction documentation, providing advice on deal structuring and strategy, conducting and supporting due diligence, and managing post-closing obligations.
Responsibilities
- Draft, negotiate, and review a broad range of transaction documentation
- Provide advice on deal structuring and strategy
- Conduct and support due diligence and ongoing compliance
- Partner with Corporate Development and other cross-functional teams to execute transactions
- Support legal and other departments in the management of post-closing obligations
- Work collaboratively to prioritize business objectives and support overall company success
- Work efficiently with outside counsel
- Support other internal legal initiatives and projects, as needed
Requirements
- J.D. from an ABA accredited law school and active admission in at least one state bar (New York, New Jersey, California, Washington D.C., or Washington preferred)
- 5+ years of relevant transactional experience, with a focus on corporate capital markets transactions, M&A, and securities
- In-house experience at a high-growth tech company or publicly traded company, with relevant prior experience at a top law firm
- Ability to operate autonomously on certain corporate transactions and handle multiple matters simultaneously
- Strong interpersonal skills, including the ability to communicate and collaborate effectively with a wide variety of stakeholders and business partners, and build interdepartmental relationships at all levels, including senior-level executives
- Advanced problem-solving skills to quickly digest a problem, evaluate solutions, and then empower others to deliver
- Excellent drafting, project management, and legal interpretation skills
- A commitment to professional conduct, excellence, and attention to detail under time pressure
- Ability to balance legal risk mitigation against key business objectives and risks
- Ability to manage outside counsel efficiently

Pay
The base salary range for this role is $157,000 to $210,000. The starting salary will be determined based on job-related knowledge, skills, experience, and market location.
