Senior Corporate Paralegal (NYC)-Hybrid

Key Responsibilities

• Lead closing coordination for SAFE financings, convertible notes, and priced equity rounds, including preparation of signature packages
• Maintain and update cap tables; track equity activity, including option grants and exercises
• Serve as a central liaison between founders, investors, and counsel to drive efficient deal execution
• Support due diligence and manage virtual data rooms for venture transactions
• Draft corporate resolutions, board and stockholder consents, and related transaction documents
• Manage entity lifecycle matters, including formations, qualifications, and dissolutions across the U.S. and select international jurisdictions
• Maintain corporate records, governance calendars, and equity documentation across a portfolio of entities
• Prepare and file state registrations, foreign qualifications, and registered agent updates
• Coordinate with state agencies, service providers, and third parties on ongoing compliance matters
• Design and refine closing checklists, templates, and standard workflows for recurring transaction types
• Identify process gaps and recommend practical, scalable improvements
• Manage multiple concurrent matters with accuracy and composure under tight deadlines

Qualifications

• 10+ years of corporate paralegal experience within a law firm, in-house legal department, or financial institution
• Deep experience supporting venture and emerging company transactions, including SAFEs, priced rounds, cap tables, and equity documentation
• Strong expertise in corporate governance and entity management, including minute books and compliance tracking
• Advanced proficiency with document management systems, DocuSign, and virtual data room platforms
• Exceptional organizational and project management skills with the ability to handle multiple complex matters simultaneously
• Strong written and verbal communication skills; comfortable interfacing directly with clients and external counsel
• Self-directed, proactive, and solutions-oriented with the ability to work independently and anticipate needs
