Role Overview
The role involves providing legal guidance on corporate governance, compliance, and transactional matters while collaborating with cross-functional teams to mitigate risks. The position requires advising on contract negotiations, regulatory filings, and corporate policies to ensure alignment with business objectives.
Key Responsibilities
- Draft, review, and negotiate complex commercial contracts, including service agreements, partnership agreements, and vendor contracts.
- Provide legal counsel on corporate governance matters, including board and committee matters, compliance programs, and regulatory obligations.
- Advise on transactional matters, including mergers and acquisitions, equity financings, and corporate restructuring.
- Develop and implement corporate policies and procedures to ensure compliance with applicable laws and industry standards.
- Represent the company in interactions with regulatory authorities, external counsel, and business partners on legal matters.
Required Skills & Qualifications
- Juris Doctor (JD) degree from an accredited law school.
- Admission to a U.S. state bar with active license in good standing.
- Minimum of 5 years of experience in corporate law, including contract negotiation and compliance.
- Experience advising on mergers and acquisitions, corporate governance, and regulatory filings.
- Strong analytical and problem-solving skills with the ability to interpret complex legal and business issues.
