Senior Associate Tax Strategy

About the role

Constellation Search Group is looking for a senior-level transactional tax attorney for a full-time direct hire position. This role is ideal for an attorney with significant experience in advising, drafting, and executing complex tax planning and structures for entrepreneurs, closely held businesses, and high-net-worth clients. The position may be based in Dallas, Texas or Englewood, Colorado, or potentially remote for candidates with a substantial book of business. This key leadership role entails collaboration with corporate and trust and estate practice groups and involves handling complex tax matters from initial structuring through implementation.

Responsibilities

• Design and execute high-value tax planning strategies, including tax-free mergers and multi-tier corporate structures.
• Oversee drafting of complex partnership agreements, including profits interests and Section 1202 QSBS planning.
• Lead corporate conversions, reorganizations, and advanced planning such as irrevocable trusts and family entity structuring.
• Translate strategic designs into actionable implementation plans ensuring alignment across multi-party transactions.
• Serve as the primary client contact for advanced tax planning, maintaining long-term client relationships.
• Coordinate with clients and advisors to explain complex tax concepts clearly.
• Manage internal teams and external advisors for the implementation of tax strategies, maintaining high-performance standards.
• Mentor junior attorneys and staff, contributing to the firm's growth and leadership initiatives.

Qualifications

• Juris Doctor from an accredited law school and LL.M. in Taxation strongly preferred.
• Minimum of 8 years post-JD tax practice with substantial transactional drafting responsibility.
• Experience in Big-4 or accounting firms focused on substantive planning and implementation.
• Proven ability to operate independently, with accountability and strong communication skills.
• Leadership and relationship management skills in client-facing and internal settings, with calm leadership in complex matters.
