Key Responsibilities
- Lead and manage SEC reporting and disclosure obligations, including preparation and review of Forms 10-K, 10-Q, 8-K, proxy statements, and other filings
- Advises on public company compliance, including NYSE/Nasdaq listing standards and evolving regulatory requirements
- Supports corporate governance matters, including Board and committee materials, policies, and best practices
- PARTNER CLOSELY WITH FINANCE AND INVESTOR RELATIONS TEAMS ON EARNINGS RELEASES, INVESTOR PRESENTATIONS, AND PUBLIC DISCLOSURES
- Provides legal support for capital markets transactions, including debt and equity offerings
- MONITOR AND ADVISE STAKEHOLDERS ON DEVELOPMENTS IN SECURITIES LAWS, ESG DISCLOSURE TRENDS, AND CORPORATE GOVERNANCE PRACTICES
- AID WITH INSIDER TRADING COMPLIANCE, STOCK OWNERSHIP GUIDELINES, AND RELATED POLICIES
- CROSS-FUNCTIONALLY WITH INTERNAL TEAMS ON STRATEGIC INITIATIVES, M&A, AND OTHER CORPORATE MATTERS AS NEEDED
Qualifications
- J.D. from an accredited law school and active bar membership
- Strong experience with SEC reporting and public company compliance
- Familiarity with corporate governance frameworks and Board support
- Experience supporting capital markets transactions preferred
