SEC & Compliance Reporting Manager
Job Purpose
The Head of SEC & Compliance Reporting is responsible for the preparation, review, and filing of all external financial reports and compliance disclosures. This position has a distinct focus on timely and accurate regulatory reporting, including SEC filings and emerging Environmental, Social, and Governance (ESG) disclosures. The ideal candidate is a seasoned professional with deep expertise in external reporting regulations and a proven ability to lead and coordinate complex compliance projects. This position is eligible for our hybrid work model working three (3) days on-site in our offices in Oak Brook, IL and two (2) days remote/home office.
Key Responsibilities
- Lead the entire process for preparing, reviewing, and filing all SEC-mandated reports, including Forms 10-K, 10-Q, and 8-K following US GAAP standards.
- Lead the process for preparing other reporting following IFRS standards.
- Manage the process for preparing, reviewing, and filing the quarterly earnings report working in alignment with Investor Relations and FP&A.
- Oversee the drafting of financial statements, footnotes, and Management's Discussion and Analysis (MD&A) to ensure accuracy and compliance with SEC regulations.
- Manage the external audit process as it relates to financial statement disclosures and SEC filings, acting as a primary point of contact for external auditors.
- Oversee and support the statutory reporting performed by all foreign legal entities, ensuring alignment and accuracy.
- Lead the financial reporting for new bond offerings and other capital market transactions.
- Partner with the head of sustainability reporting in the preparation of annual sustainability and ESG reports, ensuring compliance with evolving voluntary and mandatory reporting frameworks such as GRI, ISSB, SASB, and TCFD.
- Support the data collection, governance, and assurance processes for ESG metrics.
- Actively monitor and analyze new and proposed compliance regulations from global bodies (e.g., SEC and EU's CSRD) and provide a strategic summary to senior management.
- Maintain up-to-date knowledge of U.S. GAAP and IFRS reporting principles to ensure consistent and accurate disclosures.
- Collaborate with various internal departments, including Legal, Investor Relations, and Operations, to ensure all public disclosures are complete and accurate.
- Lead and mentor a team of reporting professionals, ensuring all deadlines are met and fostering a culture of high-quality work.
Experience Required
- Bachelor's degree in Accounting is required; a Master's degree is a plus.
- Certified Public Accountant (CPA) license is required.
- Minimum of 8 - 10 years of progressive experience in corporate accounting and external reporting, with a strong focus on SEC filings.
- Significant experience with a public accounting firm (preferably a Big Four firm) is highly desired.
- Proven track record of managing and delivering large-scale reporting projects, including recent experience with sustainability or ESG disclosures.
Preferred Qualifications
- Expert knowledge of SEC rules and regulations.
- Strong understanding of U.S. GAAP and general familiarity with IFRS reporting standards.
- Attention to detail and ability to manage multiple priorities under tight deadlines.
- Excellent written and verbal communication skills, with the ability to effectively communicate complex information to both internal and external stakeholders.
Pay Transparency
The annual salary for this role is USD $133,875.00 - $196,350.00 plus any applicable bonus (Actual salaries will vary and will be based on various factors, such as skill, experience and qualification for the role.)
