About the role

The Products & Platforms Ecosystems Counsel is a member of the Technology & Managed Services (TMS) team within the Ernst & Young LLP (EY) U.S. General Counsel’s Office (GCO). This position provides a unique opportunity to support and advise other TMS team members and business clients on complex legal matters.

Responsibilities

  • Partner with the applicable Service Line Counsels for Products & Platforms on go-to-market initiatives and align ecosystem arrangements with EY's product and platform commercialization objectives.
  • Coordinate with EY Procurement, Alliances, and sourcing functions to provide strategic legal guidance on third-party technology, data, AI, supplier arrangements, alliances, and third-party partnerships.
  • Collaborate with the Products & Platforms Coordinating Counsel, IP Counsel, and the broader TMS team on legal and commercial considerations spanning EY’s products and platforms ecosystem.
  • Work collaboratively with internal procurement, alliances, product, and technology teams and the relevant Service Line leaders to address identified issues and provide input on key legal risks.
  • Draft, review, and negotiate contracts with third parties, including master service agreements, professional services agreements, NDAs, outsourcing agreements, technology services agreements, systems implementation agreements, data agreements, and other technology-related agreements.
  • Evaluate third-party agreement templates against EY standards and support integration of ecosystem-specific issues and risk matters into TMS team priorities.
  • Interpret and explain contract terms and conditions for internal clients and stakeholders, ensuring compliance with EY policies and maintaining an understanding of any changes in policies, organizational structure, and procedures.
  • Protect EY's intellectual property to prevent loss or infringement by third parties and provide input and feedback on GCO contracting procedures.
  • Manage workflow, including multiple projects, in a proactive and responsive manner.

Qualifications

  • Excellent organizational skills and the ability to create, plan, and execute projects.
  • Demonstrated ability to communicate effectively, both verbally and in writing, with all levels of EY personnel.
  • Experience with negotiation techniques, transactional analysis, contract law, IP, commercial agreements, and workload/project management.
  • Strong negotiation, drafting, and interpersonal skills, with high emotional and cultural intelligence.
  • The ability to understand and accurately articulate and document complex concepts.
  • Adequate understanding of the size and scope of contemplated relationships and transactions.
  • The ability to assess and prioritize multiple tasks with competing deadlines.
  • The ability to foster teamwork and maintain effective working relationships with internal clients/stakeholders.
  • Commercial, solution-oriented thinking, with a focus on exceptional client service.
  • A bachelor's degree from an accredited college or a Juris Doctor from an accredited law school.
  • At least 3-7 years of relevant work experience in a related role, with a particular emphasis on commercial matters.
  • Membership in a State Bar as an attorney, qualified to practice law as an in-house attorney in the state of residence.
  • Good standing with the State Bar, including being current on individual state Continuing Legal Education requirements.

Pay

The base salary range for this position in the United States is $177,800 to $332,400. The base salary range for the New York City Metro Area, Washington State, and California (excluding Sacramento) is $213,300 to $377,800. Individual salaries within these ranges are determined through a wide variety of factors including but not limited to education, experience, knowledge, skills, and geography.

Schedule

This role is expected to work independently and should be comfortable proceeding based on guidance and general direction rather than hands-on micro management and supervision. Most people in external, client-serving roles are expected to work together in person 40-60% of the time over the course of an engagement, project, or year.
