Private Investment Fund / Investment Management Counsel / Senior Associate

Overview We are seeking a senior associate or counsel with 7+ years of experience in private investment fund formation and investment management. This role involves leading complex fund matters and serving as a key advisor to fund sponsors. Key Responsibilities Lead private investment fund formations, restructurings, and amendmentsServe as primary advisor to fund sponsors on fund terms, investor negotiations, and regulatory mattersDraft and negotiate placement memoranda, partnership or operating agreements, subscription agreements, and side lettersAdvise on complex securities law and regulatory issues impacting private funds and investment advisersReview and negotiate co-investment arrangements and institutional investor documentationSupervise and mentor associates and staffContribute to business development and client relationship management Skills & Qualifications JD from an ABA accredited law school7+ years of experience in private investment fund formation and investment managementStrong command of fund structures, market terms, and regulatory frameworksExcellent drafting, negotiation, and leadership skillsAbility to independently manage sophisticated matters and client relationships Finn Dixon is based in Stamford, Connecticut and currently maintains a hybrid work environment with candidates generally expected to be in office at least 2 days per week.
