Position Summary

The Corporate & Real Estate Paralegal is a senior-level legal professional who works directly for the General Counsel and provides high-level support across commercial real estate, corporate, transactional, governance, and legal operations matters. This role coordinates complex transactions, protects critical deadlines, maintains audit-ready records, and serves as a trusted partner to internal business leaders and outside counsel in a fast-paced, multi-entity operating environment.

Key Responsibilities

  • Support the General Counsel in the management of commercial real estate acquisitions, dispositions, development projects, financing matters, and other strategic transactions.
  • Prepare, review, organize, and track leases, amendments, assignments, estoppels, SNDAs, easements, purchase and sale agreements, closing documents, and related correspondence.
  • Coordinate transaction due diligence, including title, survey, zoning, environmental, permitting, insurance, entity, and closing requirements.
  • Manage transaction checklists, critical dates, deliverables, signatures, approvals, and post-closing obligations to ensure matters progress accurately and on schedule.
  • Draft and maintain corporate governance records, resolutions, consents, organizational documents, entity registrations, annual reports, and ownership records.
  • Assist with contract intake, review coordination, execution, retention, renewal tracking, and compliance with delegated approval requirements.
  • Conduct legal and factual research; summarize findings, risks, open items, and recommended next steps for the General Counsel.
  • Coordinate with outside counsel, title companies, escrow officers, lenders, landlords, developers, governmental agencies, vendors, and internal stakeholders.
  • Maintain secure, organized, and audit-ready legal files, entity records, contract repositories, and real estate documentation.
  • Support litigation holds, discovery, claims administration, subpoena responses, and other legal matters as assigned.
  • Identify process improvements that strengthen legal operations, document control, deadline management, and risk visibility.
  • Handle highly confidential and privileged information with exceptional judgment, professionalism, and discretion.

Strategic Partnerships

Partners cross-functionally with Executive Leadership, Finance, Accounting, Real Estate, Construction, Operations, Risk, Human Resources, and outside legal service providers. This position has no direct reports unless assigned; however, it is expected to lead workstreams, coordinate stakeholders, and drive accountability for legal deliverables.

Required Qualifications

  • 5-10+ years of progressive paralegal experience supporting a law firm real estate/transactional group or an in-house legal department within a real estate-based, multi-site, development, retail, hospitality, fuel, or similarly complex business.
  • Demonstrated experience supporting commercial real estate transactions, leasing, due diligence, closings, and corporate governance.
  • Working knowledge of legal terminology, contract structure, entity documentation, records management, and transaction workflows.
  • Proven ability to manage multiple complex matters, competing deadlines, and detailed documentation with limited supervision.
  • Advanced proficiency with Microsoft 365 and experience using legal document, contract, matter, or entity management systems.
  • Exceptional written communication, organization, judgment, confidentiality, and attention to detail.

Preferred Qualifications

  • Bachelor's degree and/or ABA-approved paralegal certificate.
  • Experience supporting acquisitions, development, financing, or a geographically dispersed real estate portfolio.
  • Experience working directly with senior executives, General Counsel, lenders, title companies, and outside counsel.
